Privacy Policy and Confidential Information

1. Definition of Confidential Information
Confidential Information refers to any non-public information shared between the parties, regardless of whether it is labeled or marked as confidential. However, this does not include information that is already public or becomes public later (unless the disclosure results from a party’s breach of this agreement). Confidential Information also excludes data that:

  • Becomes publicly available without a violation of these terms,
  • Is received from another source that is not obligated to keep it confidential, or
  • Is independently created without using any Confidential Information.

2. Obligations of Confidentiality
Each party agrees to:

  • Keep the other party’s Confidential Information strictly confidential.
  • Only use the Confidential Information for fulfilling the terms of this agreement or related agreements.
  • Share the Confidential Information solely with employees or representatives who need access to perform relevant duties.
  • Avoid disclosing Confidential Information to any third party unless both parties specifically agree otherwise.

These confidentiality commitments remain in place for five (5) years after the agreement ends. However, confidentiality obligations for trade secrets will continue as long as those trade secrets remain protected by law.

3. Preventing Unauthorized Disclosure
Both parties will use commercially reasonable efforts to prevent unauthorized use or disclosure of Confidential Information by their employees, agents, or subcontractors.

4. Legal Obligations for Disclosure
If a party is legally required to disclose any Confidential Information (referred to as the “Compelled Party”), it must promptly notify the other party and help in obtaining a protective order or appropriate solution, at the expense of the Compelled Party. If no protective order is available, the Compelled Party may disclose only the portion of the Confidential Information that is legally required to be revealed.
